Terms of Service (Maintenance Drone Co.)

These Terms of Service ("Terms") govern your access to and use of the Site and the App (together, the "Services"). By accessing or using the Services, you agree to these Terms.

If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

1) Who we are

Roofing Reimagined is a web application operated by Maintenance Drone Co. These Terms apply to the Services listed above.

2) Eligibility and account registration

You must be legally able to form a binding contract to use the Services. You agree to provide accurate account information and keep it updated.

You are responsible for:

• maintaining the confidentiality of your login credentials
• all activity that occurs under your account

Notify us promptly if you suspect unauthorized access to your account.

3) Your use of the Services

You agree to use the Services only for lawful purposes and in accordance with these Terms.

You must not:

• reverse engineer, decompile, or attempt to extract source code (except to the extent allowed by law)
• interfere with or disrupt the Services (including security testing without written permission)
• upload malware or use the Services to distribute malicious code
• access the Services using automated means in a way that harms or degrades the Services
• misuse, scrape, or attempt to access data you do not have permission to access
• violate applicable privacy, intellectual property, or other laws

We may suspend or terminate access if we reasonably believe you are violating these Terms or creating risk to the Services or other users.

4) Customer content and data

The Services may allow you to upload, submit, store, or generate content and data, including images, videos, documents, annotations, reports, and related metadata ("Customer Content").

A. Ownership

As between you and MDC, you own your Customer Content. We do not claim ownership over it.

B. License to operate the Services

You grant MDC a limited, non-exclusive, worldwide license to host, store, process, transmit, and display Customer Content only as necessary to provide, maintain, and secure the Services and to comply with law.

C. Your responsibilities

You represent and warrant that:

• you have all rights and permissions necessary to upload and use Customer Content
• your Customer Content does not violate law or third-party rights
• you will obtain any required consents (including where images may include individuals or private property)

D. Data protection

Our collection and use of personal information is described in our Privacy Policy. Where applicable, MDC may act as a processor/service provider for Customer Content under a separate data processing agreement.

5) Payments

Some features of the Services involve payment. Card payments are processed by Stripe. We do not store your full card number. By paying with a card, you also agree to the Stripe terms presented during checkout.

A. Quote payments

When you pay an accepted quote in the App, you pay the surveyor, contractor, or supplier named on that quote. That organization is the seller. The charge is created on that organization's Stripe account. You pay the amount and currency shown before you confirm payment. Supported currencies are US dollars and Canadian dollars.

Maintenance Drone Co. collects a platform fee from the amount paid to the seller. That fee is not added on top of the amount you are asked to pay. The seller can see their fee rate in the App.

• The seller is responsible for the work or goods covered by the quote, and for refunds of that payment. Refunds, when issued, are made through Stripe.
• Card disputes and chargebacks are handled through Stripe.
• Where the App offers it, you may record a payment made outside the App. Those payments are not processed by Stripe.

Surveyors, contractors, and suppliers who receive card payments must connect a Stripe account and accept Stripe's Connected Account Agreement. Stripe collects the identity and bank details required to pay them out.

B. Advertising

Advertising in the App may be billed by Maintenance Drone Co. on a recurring basis through Stripe. Fees apply to the billing period shown when you start or change a campaign. You may cancel as the App allows. Cancellation stops future billing periods. Fees already billed are non-refundable except where required by law or explicitly stated. We may change advertising prices with reasonable notice. Changes apply to future billing periods.

6) Third-party services

The Services may integrate with or link to third-party tools and services. MDC is not responsible for third-party services, and your use of them is governed by their own terms and policies.

7) Intellectual property

MDC and its licensors own all rights in the Services, including software, designs, logos, and trademarks, excluding Customer Content.

You may not use MDC's name, logos, or trademarks without our prior written permission, except as needed to identify MDC as the service provider in a truthful manner.

8) Confidentiality (for business use)

If you receive non-public information about MDC or the Services (including pricing, roadmaps, security details, or unreleased features), you agree to keep it confidential and use it only to evaluate or use the Services.

9) Acceptable use and enforcement

We may monitor the Services to maintain security and integrity, enforce these Terms, and comply with law. We may remove or restrict content that violates these Terms or applicable law.

10) Service availability and changes

We try to keep the Services available, but we do not guarantee uninterrupted operation. We may change, suspend, or discontinue parts of the Services at any time, including to:

• maintain and improve performance
• address security or legal issues
• comply with requirements

Where feasible, we will provide reasonable notice of material changes.

11) Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MDC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MDC DOES NOT WARRANT THAT:

• the Services will be uninterrupted or error-free
• results or outputs (including reports or analyses) will be accurate or suitable for your specific use
• defects will be corrected immediately

You are responsible for verifying outputs and using professional judgment where appropriate.

12) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• MDC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
• MDC'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO MDC FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU HAVE NOT PAID MDC).

13) Indemnification

You agree to defend, indemnify, and hold harmless MDC and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

• your Customer Content
• your use of the Services in violation of these Terms
• your violation of law or third-party rights

14) Term and termination

These Terms remain in effect while you use the Services.

You may stop using the Services at any time. We may suspend or terminate your access if:

• you breach these Terms
• required to do so by law
• necessary to protect the Services, MDC, or others

Upon termination:

• your right to use the Services stops immediately
• sections that by their nature should survive will survive (e.g., IP, disclaimers, limitation of liability, indemnification)

15) Data export and deletion

We may provide tools for exporting Customer Content depending on your plan and the functionality available. You are responsible for exporting your Customer Content before termination.

After termination, we may delete Customer Content in accordance with our retention practices, legal requirements, and any applicable agreements.

16) Governing law and dispute resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Venue/Jurisdiction: You agree that any dispute, claim, or controversy arising out of or relating to the Services or these Terms will be brought exclusively in the courts located in Ontario, Canada, and you consent to the personal jurisdiction of those courts.

17) Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on the Services and update the Effective date above. If changes are material, we may provide additional notice as required by law.

18) Miscellaneous

• Entire agreement: These Terms, along with any referenced policies (Privacy Policy, Cookie Policy) and any order forms, constitute the entire agreement for the Services.
• Severability: If any provision is unenforceable, the remaining provisions remain in effect.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms as part of a merger, acquisition, or sale of assets.
• Waiver: Failure to enforce a provision is not a waiver.
